As an incorporated society, it is important for you to understand the upcoming changes to the legislation relating to incorporated societies in Aotearoa.
The Incorporated Societies Act 2022 (the 2022 Act) and Incorporated Societies Regulations 2023 (the Regulations) come into force on 5 October 2023. The new legislation provides for the repeal of the Incorporated Societies Act 1908 (the 1908 Act) and puts in place a more modern legal framework for incorporated societies to operate in Aotearoa.
Re-registration under the 2022 Act
From 5 October 2023, all current incorporated societies will need to apply to re-register under the 2022 Act.
The time period for applying to re-register under the 2022 Act is from 5 October 2023 to 5 April 2026 (the transition period). Until an incorporated society re-registers under the 2022 Act, it continues to operate under the 1908 Act.
If a current incorporated society does not apply to re-register during the transition period, it will lose its incorporated status and cease to exist.
New registrations under the 2022 Act
After 5 October 2023, any new society wanting to incorporate as an incorporated society is required to register under the 2022 Act.

Updating your rules
Before you apply to register or re-register under the 2022 Act, you will need to ensure the rules of your incorporated society comply with the requirements of the 2022 Act.
